Terms & Conditions

The following Terms and Conditions document is a legal agreement between Dhavat Infotech Pvt. Ltd., hereafter called “the vendor” on the one hand and “the Client” one the other hand for the purposes of website design or development/ SEO/ Social Media Marketing or other services.The terms and conditions provided above outline the circumstances in which the client may utilize the rendered services.

Acceptance of Work

Quotations are valid for 30 days from date of issue.

When the Client places an order to hire any services offered by the vendor,it represents an intention of client to avail services provided by the vendor.

All website designs and development services provided by Dhavat Infotech Pvt. Ltd. are for the client's end use only.

We do not provide or transfer any form of source code (including HTML, CSS, JavaScript, backend code, CMS themes, or plugins) to clients. All source code and associated intellectual property remain the exclusive property of Dhavat Infotech Pvt. Ltd.

The vendor is in the business of website design & development, Search Engine Optimization, Social Media Marketing, Online Reputation Management and all other form of Digital Marketing.

Aftet start work once the Design and flow layout, modules has been launch extra changes will be charged extra. Additional work requested by the Client will be at extra charges.

The client commits to giving the vendor the information and content he needs in a timely manner so that he may finish a design or website as part of a project that has been agreed upon.

The Vendor is liable to withdraw the form of contract at any time prior to acceptance.

These terms of use provide a non-exclusive limited license, meaning that the client can only use the design on one website under one domain name. A previous written agreement between the client and the vendor is required before the client can utilize a design for more than one website.

By using the provided material and content, the client grants the vendor the right to be held harmless, protected, and defended against any claim or lawsuit.

The client acknowledges that registering a domain name does not provide them permission to use it. It is the client's responsibility to make sure they are the rightful owner of the domain name. The client agrees to indemnify and hold the vendor blameless from any claim arising from the client's domain name registration, and the vendor assumes no liability.

Any domain name registration fees and the initial hosting setup, if part of the website build, must be paid for by the client. Also, the client consents to the vendor not requesting shared hosting services.

When the domain name and hosting fees are due, the client agrees to pay the third party as soon as possible.

Clients hereby agrees confirms that he/she is ready to bear any loss, cost, liability, or claim including reasonable legal expenses if required.

If necessary, the vendor reserves the authority to appoint subcontractors in their entirety or as a component of a project.

The client acknowledges that neither the vendor nor the developer can guarantee that their website will perform or operate as intended, that it will be error-free or uninterrupted, or that the contents are up-to-date, accurate, or comprehensive.

If the vendor determines that a client has violated these terms and conditions, the vendor retains the right to stop the project with the client at any time and without giving advance notice. The vendor will be the sole arbiter in deciding what constitutes a breach. In this instance, there will be no reimbursements.

In the event that one or more of the terms of this agreement are declared invalid or unenforceable for any reason, the remaining conditions will continue to be enforceable at law.

Client is agree and understand it is inaccurate to guarantee specific business outcomes from SEO services, Social media marketing or digital marketing services. SEO, Social media marketing or digital marketing services efforts aim to improve a website's visibility in search engine results pages (SERPs), which can lead to increased traffic and potential customers, but the actual business impact depends on numerous factors beyond SEO.

Standardized Meetings

The proposal outlines a base package that includes either one or two monthly only online meetings for SEO and digital marketing consultations. This provides a regular framework for discussing progress, strategies, and any challenges.

Extra Consulting

For clients requiring more in-depth or specialized advice beyond the standard meeting schedule, the proposal clearly states that additional consulting services are available at an extra cost.

Transparency and Flexibility

This approach allows for a clear understanding of the core services offered and the options available for more extensive support, providing transparency and flexibility for clients.

Customized Solutions

The proposal's structure allows for the development of customized digital marketing strategies to meet specific client needs, with the option to pay for additional consultations as needed.

Non-Refundable Payment Policy

This part establishes that once a payment is made, it will not be returned, regardless of the circumstances. This is a common practice in many service industries, especially where the service is provided immediately or a significant amount of resources are committed.

Legal Action for Non-Payment

This part outlines the potential consequences of failing to make timely payments. It signifies that the service provider is serious about collecting unpaid invoices and will pursue legal avenues if necessary. This can include sending a legal notice, filing a lawsuit for breach of contract, or pursuing other available remedies under the law. payments regarding legal action will be taken against clients who fail to pay outstanding balances on time, with the client responsible for all associated costs, including attorney fees.

Dispute Resolution

If any differences, disputes or questions shall arise between the parties as to the meaning or effect of this offer document or as to the rights and liabilities of the parties arising out of or in connection therewith, Dhavat Infotech Pvt. Ltd. and Client shall try and resolve the issue amicably. If the parties are not able to resolve the dispute then the dispute, controversy or claim arising shall be first referred to the arbitrator in accordance with the arbitration and conciliation Act, 1996. The language to be used in the arbitration proceedings shall be in English or Gujarati. The arbitration proceedings shall be held in Anand. All legal action or any other will be subject to anand jurisdiction and client have to come for all process at place Anand (388001), Gujarat, India.
